Results of the Annual General Meeting 2024 of OMV Aktiengesellschaft
- Total dividend of EUR 5.05 per share approved, thereof EUR 2.95 per share regular dividend and EUR 2.10 per share special dividend

OMV’s Annual General Meeting has resolved on a total dividend of EUR 5.05 per share for 2023, of which EUR 2.95 per dividend-bearing share represents the regular dividend and EUR 2.10 per share the special dividend. In addition, all other agenda items, including an updated Remuneration Policy for the Supervisory Board, the Remuneration Report for the Executive Board and the Supervisory Board for 2023, elections to the Supervisory Board and amendments of the Articles of Association were resolved.
Today's Annual General Meeting has resolved on a total dividend of EUR 5.05 per share. The payment date is June 10, 2024. The annual financial statements approved by the Supervisory Board were presented. The Executive Board members and the Supervisory Board members were discharged for their activities in the financial year 2023. KPMG Austria GmbH Wirtschaftsprüfungs- und Steuerberatungsgesellschaft, Vienna, was elected as auditor and group auditor for the financial year 2024.
The General Meeting has adopted an updated Remuneration Policy for the Supervisory Board. Furthermore, the General Meeting approved the Long Term Incentive Plan 2024, a long-term remuneration instrument for the Executive Board members and selected senior managers as well as the Equity Deferral 2024, which is an integral part of the annual bonus agreement of the Executive Board Members.
Due to the expiry of four mandates out of currently ten Supervisory Board members elected by the General Meeting, all with effect as of the end of the General Meeting held on May 28, 2024, four Supervisory Board members were elected by the General Meeting:
- Ms. Dorothée Deuring
- Mr. Patrick Lammers
- Mr. Khaled Salmeen
- Mr. Khaled Mohamed Alalkeem Al Zaabi
In addition, amendments to the Articles of Association were resolved.
